Terms of Service

1. Company Information

These Terms of Service ("Terms") are entered into by and between Generama Labs Inc., a Delaware corporation ("Generama", "we", "us", or "our"), and the business entity entering into a commercial agreement with Generama ("Customer" or "you").

2. Scope of Services

Generama provides an image generation API for fashion-related use cases ("Services"). The Services are offered exclusively to business customers (B2B) and are accessible solely via API under a separately executed commercial agreement.

No consumer-facing services are offered.

3. Contractual Relationship

Access to and use of the Services is governed by:

• These Terms, and
• A separate written contract (e.g. Master Services Agreement, Order Form, or Statement of Work).

In the event of a conflict, the written contract prevails.

4. API Usage

Customer may use the API only:

• For internal business purposes
• In accordance with the agreed usage limits
• In compliance with applicable laws and regulations

Customer must not:

• Reverse engineer the Services
• Use the Services to generate unlawful, infringing, or harmful content
• Resell or sublicense the API without written permission

5. Customer Data

Customer may submit data (e.g. images, prompts, metadata) solely for the purpose of generating outputs via the API ("Customer Data").

Customer represents and warrants that it has all necessary rights and permissions to submit such data.

6. Intellectual Property

• Generama retains all rights to the Services, models, infrastructure, and underlying technology.
• Customer retains ownership of its input data.
• Ownership and usage rights of generated outputs are governed by the commercial contract.

7. Fees and Payment

All Services are paid and billed according to the applicable contract. Failure to pay may result in suspension or termination of access.

8. Confidentiality

Both parties agree to keep confidential all non-public information exchanged in connection with the Services.

9. Disclaimers

The Services are provided "as is" and "as available." Generama does not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, Generama's liability is limited as set forth in the applicable commercial agreement.

11. Termination

Termination rights are governed by the applicable contract.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
